Terms and Conditions of Sale (continued)

1: The artwork that is the subject of this invoice (the "Work") is sold on the terms and conditions set out in this invoice which form a binding sale agreement between vivmoe alias Viv Moench and the Buyer.

2: Title to the artwork (the "Work") does not pass until payment of the Purchase Price has been received in full by vivmoe in cleared funds. All applicable sums due (commission, resale, royalties, VAT, import VAT or other taxes and any expenses (where applicable) must be paid within 30 days after the date of the invoice (or as otherwise agreed between us). Payments shall be made in the currency specified in the invoice.

3: vivmoe reserves the rights to charge interest at 3% over RBS base rate if payments are not received within 30 days after the date of the invoice. (or as otherwise may be agreed in writing between us).

4: The Work must be collected from vivmoe premises after payment of the Purchase Price has been made in full and at the time and date agreed between vivmoe and the Buyer.

5: If the Buyer fails to collect the Work within 45 days after the Work is made available for delivery without prior agreement with vivmoe, the Buyer will be liable for the costs of storage and insurance from the date until the date of collection.

6: The Buyer is responsible for shipping and casing costs. vivmoe will obtain a quotation for these on request.

7: vivmoe will only release the property to a third party if given written authorization by the Buyer.

8: Unless otherwise agreed, the Buyer will be responsible for loss of or damage to the Workfrom the earlier of when: A) the Buyer (or third party acting on the Purchaser's behalf) collects the Work, B) payment is made for the Work, or C) payment becomes overdue.

9: Any documents of information provided to the Buyer by vivmoe about the Work do not form part of the sale agreement and are matters of opinion only. The are not representations Warranties or guarantees by vivmoe.

10: vivmoe is the creator of the Work, artists retain full copyright of the Work. As a Buyer, vivmoe grants license to use an image of the Work for non-commercial purposes only.

11: If Buyer wishes to sell the Work, vivmoe would be the first contact for a potential resale.

12: Buyer agrees to loan the Work for any future museum or gallery exhibitions. All cost associated with this loan, including the insurance, will be met by the venue.
